SERVICE AGREEMENT FOR YOUR ROI PACKAGE
Google Ads:
This Service Agreement is entered into between Wade Holdings Pty Ltd (hereinafter referred to as “Disrupta”) and You (hereinafter referred to as “Client”).
1: Disrupta will provide Client access to the Done For You marketing solutions in alignment with the conditions outlined below:
2: The fees for the package are 6 monthly payments of AUD $1,500 + GST.
3: All ad spend is to be signed off by client and is paid directly to Google.
4: The ROI Package consists of (but is not limited to):
- 1x Onboarding strategy session with your Disrupta Representative
- 3x Offer Creation/Implementation Sessions
- Making Key Messaging and Website Conversion Improvements during months one and two
- 1x new landing page as needed per quarter to assist conversion
- Survey of client’s users
- Set up and optimisation of client’s Google Analytics and Google Tag Manager Accounts
- Set up and ongoing management of client’s custom conversions inside Google Analytics
- Set up, optimisation and ongoing management of client’s Google or Facebook ad accounts
- Ongoing quarterly sessions with your assigned Disrupta Representative
- Ongoing monthly performance updates with your assigned Disrupta Representative
- Ongoing suggestions of campaign improvements
- Keyword and audience research and analysis
- All ad creative provided by Disrupta (for client’s approval)
- Tasks outlined in the below section “Our Tasks”
- A realtime tracking dashboard where campaign metrics can be monitored
5: Google Advertising includes but is not limited to:
- Up to 4x Ad Campaigns (additional campaigns can be added as an optional upgrade)
- Landing Page Setup (on initial setup then, 1 new landing page per quarter as needed)
- Ad Copy Creation
- Ad Image Creation
- Monthly Reporting
6: The ROI Package does not include the following:
- Website redesign or non conversion based work
- IT support or ongoing website maintenance
- Content creation (unless a Content Specific upgraded service has been added)
- Overarching Marketing strategy
- Client support and access beyond Disrupta’s client communication timeline
7: Our Commitment to You is that:
- We will perform the Services to the standard agreed and will provide the Services with reasonable skill and care
- We will let client know if Services are outside scope
- We will commence providing our Services within 48hrs of (“the Commencement Date”), or shorter, if agreed
8: We will provide the Services subject to these Terms:
- We will, throughout the Initial Period and until the Agreement is canceled, provide the Services to client
- We will ensure that we comply with all statutes, regulations, standards, codes of conduct and any other rules relevant to the provision of the Services
- We will use all reasonable endeavours to accommodate any reasonable changes to the Services requested by client to our Subscription Packages, or if we agree for client to change from one Subscription Package to another
- Client will be responsible for our then current Fees, payable as a result of such changes
- If we provide client with any personal information or details through the provision of the Services, client agrees to handle all of those details in accordance with our Privacy Policy
9: Service Limitations:
Because the Services rely on the internet and third party providers, continuity cannot be guaranteed.
We will use reasonable efforts in providing the Services, however, we can’t warrant or guarantee the Services will be uninterrupted or error free, and we take no responsibility for faults, delays, or interruptions to the Services caused by:
- Misuse or user error
- Your software or equipment
- The delays, action, operation, inaction, or failure of any third party service, software, or equipment; or
- Any Force Majeure Event
- We are not liable for any delay or failure to perform our obligations under this Agreement, if such delay or failure is due to termination of access to a Service, by a platform, service or software supplier or as a result of a change to the conditions of that supplier
- Out-of-Scope Services
If client requests, we may, at our discretion, provide Out-of-Scope Services. We will inform you of our then current rate for any Out-of-Scope Services requested.
10: For the purposes of receiving the ROI Package, Client agrees to the following:
- Granting Disrupta all access in a timely manner
- Responding to all Disrupta communication in a timely manner
- Remaining coachable and open to new ideas provided by Disrupta
- Remaining willing to take action on suggested ideas for improvement
- Abide by all terms in this agreement for the full duration of 6 months
- Provide 30-days written notice to terminate the service any time after the minimum 6-month term
- Provide 30-days written notice for all large changes (ie including but not limited to: budget, keyword and audience targeting changes)
- Allow Disrupta to debit the monthly payments via your nominated credit card
11: Client acknowledges the following with respect to the ROI Package:
- All fees are non-refundable
- Client acknowledges that the ROI Package does not promise any sales since such responsibilities are in the hands of the Client not “Disrupta”, this program is designed to position you with a standout point of difference, to optimise your ability to make more money per web visitor and to provide targeted web traffic
12: In the case of disputes that may arise. Any mediation will be handled in Disrupta’s city of residence Sydney, Australia
Disrupta’s Tasks:
As part of the ROI Package Disrupta will take care of the relevant strategy around offer and point of difference creation, tracking setup and, the setup, optimisation and ongoing management of your Google or Facebook ads accounts. Post the required month one and two setup and optimisation, each month we aim to do the following for you:
- Ongoing refinement of the advertising strategies based on client goals
- Design and create visually appealing ads for the Google platform
- Write compelling ad copy that aligns with the brand message and goals
- Regularly optimise ad placements, keyword targeting, and bidding strategies
- Define and manage monthly advertising budgets in consultation with client
- Monitor spending and adjust budgets based on performance and goals
- Monitor ad performance regularly to identify trends and areas for improvement
- Provide performance reports to client, highlighting key metrics
- Conduct A/B testing for ad creatives, copy, and targeting to optimise performance
- Implement changes based on test results to enhance campaign effectiveness
- Create and manage segmented audiences for targeted advertising
- Adjust targeting parameters based on audience behavior and engagement
- Perform ongoing keyword research for Google Ads campaigns
- Optimise keyword selection and bidding strategies for maximum impact
- Provide ongoing recommendations for optimising landing pages to improve conversion rates
- Collaborate with client on landing page changes and improvements
- Resolve any ad disapprovals or policy violations promptly
- Schedule regular update meetings to discuss campaign performance and strategy
- Respond promptly to client inquiries and address concerns
- Listen and respond to client feedback, making necessary adjustments to meet expectations
- Stay informed about industry trends, algorithm updates, and platform changes
Your Team’s Tasks:
As part of the ROI Package, your team’s tasks are as follows:
- Respond to all leads promptly and professionally
- Attend Strategy Sessions with your Disrupta Representative via Zoom
- Assist in the implementation of required strategies to boost profit, conversion rate and marketing performance
- Where necessary, assist in the tracking of all sales and marketing via recording lead quality and sharing results with Disrupta
- Keep adequate funds available on the Credit Card assigned to client’s ad accounts to meet chosen ad spend
